Personal Use License Agreement

This Personal Use License Agreement (“Agreement”) is between you (the Licensee) and Vacation Designs LLC (the Licensor). By purchasing, downloading, or using the website template (“Template”), you agree to the terms outlined in this Agreement.

1. Grant of License

The Licensor grants you a non-exclusive, non-transferable license to use the Template solely for personal or internal business use, as outlined below.

2. Permitted Uses

You may use the Template for:

• In your own business on your Showit website.
• Branding or promotional content for your own business (e.g., website)
• Customizing the Template with your own colors, text, branding, content and media.
• ‘Designed by ‘Vacation Designs Creative Co’ must remain in the footer of your website and link to our website www.vacationdesignscreative.com. 

3. Restrictions

Under this license, you may NOT:

• Resell, redistribute, or share the Template in the original or modified form
• Claim the design or Template as your own
• Use the Template for client work, commercial services, or to create products for sale
• Upload or distribute the Template on any platform, marketplace, or file-sharing service (public or private)
  

No Commercial Use

This license strictly prohibits any commercial use of the Template. This means you cannot:

• Use the Template to create websites, products, or digital content for clients or third parties
• Include the Template (original or modified) in any product or service that is sold, offered, or distributed
  Use the Template in any way that generates revenue or is intended for commercial gain (including monetized websites, paid subscriptions, or digital offerings)
  Sell, gift, or share the Template, or any derivative of it, through marketplaces, file-sharing platforms, or peer-to-peer networks. This is strictly prohibited.

If you wish to use the Template for client work, resale, or any revenue-generating activity, you must contact us at hello@vacationdesigns.com to purchase a separate Commercial License.

Ownership

The Template is the intellectual property of Vacation Designs LLC and is protected by copyright laws. By purchasing and using this Template, you are granted a limited license to use the Template under the terms specified herein. You do not own the Template or its source files.

You may not:

• Claim the design, layout, or structure of the Template as your own
• Register the Template or any variations as your intellectual property
• Use the Template in a way that implies exclusive ownership or authorship

All rights not expressly granted under this license are reserved by the Licensor.

Demo Text & Placeholder Content
Templates may include sample copy, fictional business names, or “cupcake or travel ipsum” filler text for layout and design purposes only. This content is intended to be replaced by you prior to publishing. It is your responsibility to update all demo copy with your own branding, copy.

Vacation Designs is not liable for any confusion, misrepresentation, or loss resulting from failure to replace placeholder or demo content before launching your website.

Payments & Billing

All sales are final and payments are non-refundable due to the digital nature and the immediate delivery of our templates.

Policy Revisions & Notifications

• The Licensor reserves the right to revise or update these license terms periodically to reflect changes in services, legal requirements, or business practices.
• Any significant updates will be communicated via email.
• By continuing to use the Template after such updates are made, you acknowledge and agree to the revised terms.
  

Disclaimer & Release of Liability

By purchasing, downloading, or using the Template, you acknowledge and agree to the following:

No Guarantees or Warranties. The Template is provided “as is,” without any warranties or guarantees of any kind. The Licensor does not guarantee that the Template will meet your specific requirements, be error-free, or function seamlessly across all platforms, browsers, or hosting environments.

No Promise of Revenue. The use of the Template does not guarantee any income, profit, or financial return. The Licensor makes no promises, representations, or guarantees regarding the potential for generating revenue through the use of the Template. Any financial success or failure is the sole responsibility of the user.

Responsibility of Use. You are solely responsible for how you use, customize, and implement the Template in your projects. The Licensor is not liable for any damages, losses, or issues (including but not limited to data loss, business disruptions, or technical issues) arising from the use or misuse of the Template.

Third-Party Integrations. If you integrate third-party tools, plugins, or services with the Template, you do so at your own risk. The Licensor is not responsible for any compatibility issues, performance problems, or damage resulting from such integrations.

Legal Compliance. You are responsible for ensuring your use of the Template complies with all applicable laws, regulations, and standards in your industry and region. By using the Template, you release the Licensor from any claims, liabilities, or legal actions related to your use of the product.

Additional Terms

• Non-transferable: This license is for your use only and may not be transferred, sublicensed, or assigned to another party.
  
• Indemnity: You agree to indemnify and hold the Licensor harmless from any third-party claims arising from your use of the Template in violation of this Agreement.

9. Termination and Revocation of Use

The Licensor reserves the right to terminate or revoke your license at any time, without prior notice, if you are found to be in violation of any of the terms outlined in this Agreement.

Grounds for Termination may Include (but are not limited to):

• Unauthorized sharing, resale, or redistribution of the Template
• Commercial use of the Template without a proper commercial license
• Misrepresentation of ownership or authorship
• Breach of intellectual property rights or misuse of the Template
  

Upon termination:

• Your rights to use the Template will be immediately revoked
• You must cease all use and delete any copies (original or modified) in your possession
• No refunds will be issued for terminated licenses
  

Legal Disputes:
In the event of a dispute or legal action arising from this Agreement, the case will be governed by the laws of New Jersey, and any legal proceedings will take place in the courts located in Camden County, New Jersey.
